1. Acceptance of Terms

By accessing and using the Firescape Inc. ("Firescape," "we," "us," or "our") website and services (collectively, the "Services"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms & Conditions, please do not use our Services.

2. Description of Services

Firescape provides cloud-hosted geospatial software and AI-powered platform services that help utility companies and other stakeholders manage wildfire risk and resilience through advanced analytics, remote sensing, and machine learning. Our Services include but are not limited to:

  • Wildfire risk assessment and prediction
  • Real-time vegetation and weather monitoring
  • Public Safety Power Shutoff (PSPS) decision support
  • Grid resilience planning tools
  • Data analytics and reporting

3. User Accounts

To access certain features of our Services, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law
  • Infringe upon the intellectual property rights of others
  • Transmit any malicious code, including viruses, worms, or trojans
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the Services
  • Collect or harvest information about other users without their consent
  • Use the Services for any fraudulent or deceptive purpose

5. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of Firescape Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content, except as permitted by these Terms or with our prior written consent.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

7. Service Availability and Modifications

We strive to maintain the availability of our Services, but we do not guarantee that the Services will be uninterrupted or error-free. We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Services at any time
  • Impose limits on certain features or restrict access to parts or all of the Services
  • Perform maintenance and updates without prior notice

8. Fees and Payment

Certain aspects of our Services may be provided for a fee. You agree to pay all applicable fees as described on our website or in your service agreement. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing at any time, with notice to existing customers as required by applicable law.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FIRESCAPE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WHILE OUR SERVICES PROVIDE WILDFIRE RISK ASSESSMENTS AND PREDICTIONS, THEY SHOULD BE USED AS ONE COMPONENT OF A COMPREHENSIVE RISK MANAGEMENT STRATEGY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY PREDICTIONS OR ASSESSMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIRESCAPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL FIRESCAPE'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO FIRESCAPE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR $1,000, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Firescape Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms & Conditions
  • Your violation of any rights of another party
  • Your use or misuse of the Services

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at admin@firescape.ai. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Firescape Inc. concerning the Services and supersede any prior agreements between you and Firescape.
